Master Service Agreement
Last updated:
Let’s keep this simple, clear, and collaborative — like the way we work.
This Master Service Agreement (“Agreement”) is between Vantix LLC (“Vantix”) and you, our customer (“Customer”). It lays the foundation for any services we provide now or in the future, including vital offerings such as firewall management. Every Service Order you sign will reference this agreement, ensuring we’re always on the same page.
What We Do
Vantix provides managed network services, encompassing firewall management, configuration, monitoring, and support for network infrastructure such as switches, wireless access points, and backup power systems. The specific details of what we’re doing for you will always be outlined in a separate Service Order, which connects back to this agreement.
How It Works
All services are billed on a month-to-month basis, with no long-term contracts unless we agree otherwise in writing. Billing occurs at the start of each month, and your first month will be prorated based on your service start date.
If you ever need help beyond your regular service plan — like special projects or one-time requests — we also offer hourly support. Some of that may be prepaid in blocks, and some might be billed after the work is done. Either way, we’ll agree on the details upfront in your Service Order and keep time logs so it’s clear what was accomplished.
Ending Service
You can cancel services at any time. When you do, your service will end on the first day of your next billing cycle. To keep things simple and predictable, we don’t offer prorated refunds for partial months.
What You’re Responsible For
We’ll manage the systems and equipment we’ve agreed to support — but we’ll rely on you to provide working internet, power, access to the equipment, and a stable internal network unless we’re managing those components too.
If we’re managing equipment you own, we’ll support and troubleshoot it — but we’re not responsible if it fails physically or malfunctions. That said, we’ll always work with you to recommend a Vantix-supported solution that keeps your business running smoothly.
About Equipment
Some equipment might be provided by Vantix, and some might be yours. Either way works fine. Your Service Order will specify who owns what. If we’re managing it, just don’t alter settings or unplug things without consulting us first — it helps us help you.
Adding More Services
Need something new? Great — we’ll create a new Service Order for it. That order will reference this agreement, and unless we say otherwise, everything in this MSA still applies.
Where to Find the Fine Print
By signing a Service Order, you’re also agreeing to this Master Service Agreement and the Vantix Terms & Conditions, which are available at vantix.tech/terms. Everything’s easy to find.
Liability
We work hard to provide reliable service through our managed network services, but no system is perfect. If something goes wrong, our responsibility is limited to the amount you paid for the affected service during that month. We’re not liable for issues like lost data, business interruption, or revenue — but we’ll always aim to make things right.
The Whole Agreement
This Agreement, along with any active Service Orders and the Terms & Conditions, constitutes the full understanding between you and Vantix. It replaces any previous conversations or informal agreements. If we ever update these terms, we’ll give you a heads-up.
When you sign your first Service Order, you’re confirming you’ve read and agree to everything here.
